    불법파견 판단지침과 판단 사례


    1. 문제의 소재  

    파견근로자를 사용하는 것은 기업체에서 고용의 유연화와 인건비 절감차원에서 큰 도움이 된다. 그러나 이러한 파견근로자는 제한된 업종에 한해, 2년밖에 사용할 수 없어 기업체에서는 파견근로 형태로 계속 유지할 수 있는 방법을 모색하게 됐다. 이러한 파견과 같은 효과를 가지면서 지속적으로 사용할 수 있는 것이 사내하도급이다. 사내하도급은 업무의 독립성과 전문성을 요구하고 있다. 그러나 우리나라의 많은 회사들이 이러한 전문적인 업무에 대해 외주를 주는 것이 아니라 인건비를 아낄 수 있는 단순업무나 부족한 인력을 하도급이라는 형태로 활용하는 경우가 많다. 기업체가 하도급 근로자의 업무를 지휘-명령하게 되면 이는 불법파견으로 인정돼 직접고용의무와 함께 형사처벌을 받게 된다(파견법 제6조의2). 


    2. 불법파견 여부 판단 

    가. 불법파견의 이해
    근로자파견이란 파견사업주가 근로자를 고용한 후 그 고용관계를 유지하면서 근로자파견계약의 내용에 따라 사용사업주의 지휘-명령을 받아 사용사업주를 위한 근로에 종사하게 하는 것이다(파견법 제2조). 근로자파견에 해당하는지 여부는 사용사업주(원청)와 파견사업주(하청)간 계약의 명칭이나 형식보다는 그 사실관계를 기준으로 판단한다. 

    도급이란 수급인이 어떤 일을 완성할 것을 약정하고, 도급인은 그 일의 결과에 대해 보수를 지급할 것을 약정함으로써 성립하는 계약이다(민법 제664조). 사내하도급은 자신의 사업장 내에서 이루어지는 업무의 일부를 도급업체로 하여금 수행하도록 하는 것을 말한다. 수급인의 근로자가 도급인의 사업장에서 도급인의 지휘-명령을 받고 도급인에게 근로를 제공하는 경우에는 파견관계가 성립하는데, 이 경우 근로자파견요건을 갖추지 못했기 때문에 불법파견이 된다.  

    나. 위장도급과 불법파견 판단절차  
    우선, 하도급 업체가 실체가 있는 회사인지 확인한다. 실체가 없으면 해당 하도급 근로자를 직접고용지시를 내린다. 하도급의 실체가 인정되는 경우에는 그 다음으로 하도급 회사의 위장도급 여부를 판단한다. 

    ①수급인의 사업주로서의 실체 판단: 기업체 내에서 외부인력을 활용해 업무를 수행하는 경우, 우선 수급인이 사업주로서 실체가 인정되는지 여부를 검토한다. 그렇지 않은 경우에는 수급인 소속 근로자는 도급인 회사에 직접적인 근로계약관계가 있음을 인정한다. 
    ②근로자파견 해당 여부 판단: 수급인이 사업주로서 실체가 인정되는 경우에는 도급인 회사가 수급인 소속 근로자를 실제로 지휘-명령해 사용하는지 검토해 근로자파견에 해당하는지 여부를 판단한다.


    3. 위장도급 판단기준과 사례  

    가. 수급인이 사업주로서의 실체 판단 
    대법원은 근로계약 관계를 숨기기 위한 도급계약과 관련해 다음과 같은 기준을 제시하고 있다. "원고용주에게 고용돼 제3자의 사업장에서 제3자의 업무에 종사하는 자를 제3자의 근로자라고 할 수 있으려면, 원고용주는 사업주로서의 독자성이 없거나 독립성을 결해 제3자의 노무대행기관과 동일시 할 수 있는 등 그 존재가 형식적, 명목적인 것에 지나지 아니하고, 사실상 당해 근로자는 제3자와 종속적인 관계에 있으며, 실질적으로 임금을 지급하는 자도 제3자이고, 또 근로제공의 상대방도 제3자이어서 당해 근로자와 제3자 간에 묵시적 근로계약관계가 성립돼 있다고 평가될 수 있어야 한다"

    수급인이 사업주로서 실체가 인정되는지 여부는 수급인과 도급인 사이에 체결된 계약의 형식, 명칭 등과 관계없이 수급인이 사업주로서의 독자성이나 독립성을 갖추고 있는지를 종합적으로 고려해 판단한다. 그러나 수급인이 어느 정도의 사업주로서 독자성이나 독립성이 있는 경우에는 사업주로서의 실체가 있다고 판단한다.

    (1) 채용, 해고 등의 결정권: 수급인이 소속 근로자의 근로조건과 인사노무 관련 사항을 결정하는지 여부를 검토한다.
    (2) 소요자금 조달에 대한 책임: 수급인이 사업체 설립비용, 사무실 임대비용, 기타 사업을 하기 위해 필요한 자금을 스스로 마련하는지 여부를 검토한다.
    (3) 법령상 사업주로서의 책임: 수급인이 근로소득세 원천징수와 4대보험 가입여부, 취업규칙을 마련해 시행했는지를 검토한다.
    (4) 기계, 설비, 기자재의 소유: 수급인이 독자적으로 사업을 하기 위해 필요한 기계, 설비, 기자재 등을 소유 여부를 검토한다.
    (5) 전문적 기술-경험: 수급인이 사업에 필요한 전문적 기술이나 경험을 가지고 독자적으로 사업을 기획하고 경영상 의사결정권을 행사하는지 여부를 검토한다.

    나. 판단 사례
    (1) 사업주로서 실체를 인정한 사례 
    - 금호타이어 사건: 대법원 2017.12.22. 선고 2015다32905
    ①하청이 원청과는 별도의 회사를 설립해 독립적 사업주체로 활동하고 사업자 등록
    ②4대보험 가입
    ③독자적인 취업규칙 마련 및 이를 근거로 근태관리권 행사 

    - 인천공항공사 사건: 대법원 2013.7.25. 선고 2012다79439
    ①하청이 별도의 취업규칙, 근태관리 및 징계권 행사
    ②해당 원청 외에 타 업체와도 용역계약 체결, 소속 근로자 2,730여명이 여러 업체에서 용역업무 수행

    (2) 사업주로서 실체를 부인한 사례 
    - SK인사이트 사건: 대법원 2003.9.23. 선고 2003두3420
    ①원청이 하청근로자들에 대해 원청 직원들과 구분 없이 업무를 지시하고 제반 인사관리 직접 수행
    ②하청은 원청의 자회사가 주식 100%를 보유, 원청의 업무만 도급 받아 수행 
    ⇢ 원청은 위장도급의 형식으로 근로자를 사용하기 위해 하청의 법인격을 이용한 것에 불과, 실질적으로는 직접 채용한 것과 마찬가지로서 근로계약관계가 존재한다.  

    - 현대미포조선 사건: 대법원 2008.7.10. 선고 2005다75088
    ①하청은 약 25년간 오직 원청으로부터 업무를 도급받아 수행하면서 원청이 채용여부 결정, 징계요구, 승진대상자 명단 통보
    ②원청이 근로시간과 연장근로를 결정해 작업지시, 도급업무 외의 원청 업무도 수행토록 함
    ③원청이 상여금, 퇴직금 등 직접 지급 
    ⇢ 실질적으로는 업무수행의 독자성이나 사업경영의 독립성을 갖추지 못한 채 원청의 일개 사업부서로 기능하거나 노무대행기관의 역할을 수행


    4. 불법파견 판단기준과 사례 
     
    대법원은 불법파견에 대해 다음과 같이 기준판례를 제시했다. "근로자파견에 해당하는지 여부는 당사자의 형식적이고 명목상 정한 계약형식과 상관없이, 계약 목적 또는 대상의 특정성, 전문성 및 기술성, 계약당사자의 기업으로서 실체 존부와 사업경영상 독립성, 계약 이행에서 사용사업주의 지휘명령권 보유 등을 종합적으로 고려해 그 근로관계의 실질을 따져서 판단해야 한다."  

    가. 원청의 상당한 지휘ㆍ명령 
    도급인이 수급인 소속 근로자에 대해 직-간접적으로 업무수행의 구체적 사항에 관한 지시를 하고, 수급인 소속 근로자가 이에 구속되는지 여부 등 상당한 지휘-명령이 인정되는지 여부를 검토한다. 수급인의 현장대리인이 수급인 소속 근로자에게 구체적인 지휘-명령을 했다고 해도 도급인이 결정한 사항을 전달하는 것에 불과한 경우에는 근로자파견의 징표에 해당할 수 있다.

    다만, ①도급인은 도급 작업의 범위를 특정하는 등 도급인의 권한에 속하는 정도의 지시만 할 뿐이고, 구체적인 작업내용은 수급인의 현장 대리인이결정해 지시하는 경우, ②도급인이 수급인 소속 근로자에게 상시적으로 지시하는 것이 아니라 긴급상황이나 일시적으로만 지시하는 경우, ③산업안전보건법 제63조에 따라 도급인의 안전조치 및 보건조치를 해야 하는 경우에는 근로자파견의 징표에 해당한다고 보기 어렵다.

    ■ 판단 사례
    - 지휘-명령에 해당될 수 있는 경우
    원청이 하청근로자에 대해 일반적인 작업배치와 변경결정권을 가지고, 작업장소, 작업시간 등을 결정한 경우; 원청이 작업방법과 내용 등이 기재된 업무매뉴얼이나 작업지침 등을 작성해 하청근로자에게 교부하고, 하청근로자는 그에 따라 업무를 수행한 경우

    - 지휘-명령에 해당되기 어려운 경우
    하청이 계약이행을 위한 작업계획을 자체적으로 수립하고, 이에 따라 작업에 투입할 근로자 수, 작업배치와 변경, 작업시간 등을 독자적으로 결정하는 경우; 원청이 업무매뉴얼을 두는 등의 방법으로 하청근로자들의 업무에 관여했더라도, 하청소속 현장관리인이 작업지시를 하면서 근태관리 한 경우 

    나. 도급인 사업으로의 실질적 편입
    ①수급인 소속 근로자가 도급인 소속 근로자와 하나의 작업 집단으로 구성돼 공동 작업을 하거나, ②도급인이 수급인 소속 근로자에게 계약상 업무 외의 업무도 수행하도록 하거나, ③도급인의 근로자 결원 발생 시 수급인 소속 근로자로 하여금 대체하도록 하는 등 도급인이 수급인 소속 근로자를 자신의 근로자와 마찬가지로 자신의 사업에 편입했는지 여부다. 수급인 소속 근로자가 도급인 소속 근로자와 같은 공간에서 같은 업무를 공동작업을 통해 수행하는 경우 근로자파견에 해당할 개연성이 높다. 근무 장소가 같더라도 개별 근로자들이 소속된 수급인의 계약 목적에 따른 업무를 각자 독립적으로 수행하는 경우에는 도급인의 사업에 편입됐다고 보기 어렵다. 

    ■ 판단 사례
    - 원청 사업에의 편입에 해당될 수 있는 경우
    (같은 장소) 하청근로자와 원청근로자가 같은 조에 배치돼 동일한 업무를 함께 수행하는 경우
    (다른 장소) 하청근로자와 원청근로자의 작업장소가 공간적으로 떨어져 있더라도, 하청근로자들이 일련의 공정 중 하나, 또는 하나의 공정 중 세분화된 작업단계에 참여하고 밀접하게 연동돼 진행되는 경우

    - 원청 사업에의 편입에 해당된다고 보기 어려운 경우
    (같은 장소)근로자가 도급인소속 근로자와 같은 공간에서 함께 근무하더라도, 업무내용이 서로 다르고, 도급인소속 근로자의 업무와 무관하게 독립적으로 이루어지는 경우
    (다른 장소) 하청근로자가 원청근로자와 혼재해 동일한 업무를 수행하는 것이 아니고, 공정 간 유기성도 크지 않은 경우 

    다. 인사노무 관련 결정
    수급인이 하도급 근로자의 인사노무와 관련된 사항을 결정하고 관리 권한을 독자적으로 행사하는지 검토한다. 

    ■ 판단 사례
    - 인사권 행사 못한 경우
    하청이 근로자를 신규 배치하는 경우 원청의 승인을 받아야 하고, 원청이 근로자의 교체를 요구하면 하청은 이를 반드시 따르도록 돼 있는 경우
    하청근로자의 업무시간, 연장근로 여부 등을 원청이 결정하는 경우

    - 인사권 행사한 경우
    하청이 업무수행에 필요한 교육을 자체적으로 실시하고, 채용-징계 등에 관한 기본적 권한을 가지고 근로자들에게 근태관리를 직접 한 경우

    라. 업무의 전문성과 기술성
    수급인 소속 근로자가 수행할 업무가 구체적으로 확정돼 있는지, 도급인 소속 근로자의 업무와 구별되고 전문성과 기술성이 있는지를 검토한다.

    ■ 판단 사례
    - 전문성-기술성 등이 없는 경우
    하청의 고유하고 특유한 업무가 별도로 있는 것이 아니라 원청의 필요에 따라 하청의 업무가 구체적으로 결정되는 경우 하청근로자의 업무가 원청근로자의 업무와 동일해 명확히 구분되지 않는 경우

    - 전문성-기술성 등이 인정되는 경우
    하청근로자의 업무가 원청근로자의 업무와 달라 독립적으로 이루어지는 경우
    하청근로자가 도급계약에서 정한 업무만 수행하고, 원청의 지시에 따른 추가적인 업무는 수행하지 않는 경우

    마. 기업조직과 설비 등 보유
    수급인이 도급계약 등의 당사자로서 계약의 목적을 달성하기 위해 필요한 독립적 기업조직이나 설비, 장비 등을 갖추고 있는지를 검토한다. 

    ■ 판단 사례
    - 독립적 기업조직-설비를 갖추지 못한 경우
    하청의 고유기술이나 자본이 투입되지 않는 경우

    - 독립적 기업조직-설비를 갖춘 경우
    하청이 도급계약 목적 달성을 위한 조직을 갖추고 있고, 실제로 해당 원청 외의 다수 업체를 상대로 업무를 수행하고 있는 경우
    하청이 별도의 인적-물적 시설을 갖추지 않고 다수의 근로자들로만 구성돼 있고, 특유의 전문성도 갖추지 않은 경우


    5. 결론 

    최근 한 외국계 자동차회사의 한국 자회사에 대해 불법파견 개선 컨설팅을 진행했다. 현 실태에 대한 진단과 함께 노동법, 판례, 고용노동부의 지침에 따라 개선사항을 제시했다. 이 회사의 컨설팅을 진행하면서 놀라운 사실은 회사를 몸으로 비유할 때, 머리와 가슴만 직영으로 관리하고, 몸통과 수족은 하도급으로 진행하고 있었다. 이 회사의 차량 판매, 배송, 부품 창고, 사내 전산관리, 품질관리, 콜센터, 사내차량 관리, 사내교육 등이 모두 하도급으로 관리되고 있었다. 

    이러한 하도급 관리는 글로벌 경쟁체제 하에서 기업이 손쉽게 비용을 절감하고 고용조정을 할 수 있는 수단으로 활용하고 있다. 그러나 이러한 하도급 활용은 엄격하게 도급관계를 유지해야만 가능하다. 즉, 도급의 특성인 독립성과 전문성을 유지해야만 한다. 앞서 설명한 불법파견에 따른 철저한 지속적 관리가 되지 않는 이상 불법 파견에 해당될 위험이 높다. 



    Guidelines for Determining if Subcontracting is Actually Illegal Dispatch and Related Cases


    1. Introduction 

    Dispatched workers are used for the flexibility and reductions to labor costs they entail for companies. However, as dispatched workers can only be used for 2 years and only for a limited range of jobs, companies have been looking for a way to make use of workers in a similar way. In-house subcontract workers are one way to gain the continuous benefit that dispatch employment cannot provide. In-house subcontracting requires independence and expertise. However, many companies in Korea do not outsource these specialized tasks, but often make use of in-house subcontracting for simple work or to increase their manpower for lower costs. If a company directs and orders subcontract workers in their work, this will be judged illegal dispatch and the employer will be subject to criminal punishment and an obligation to directly employ the in-house subcontract worker (Article 6-2 of the Dispatch Act).


    2. Determining Illegal Dispatch

    A. Understanding Illegal Dispatch
    The term "worker dispatch" means a system in which a sending employer, while maintaining employment relations with a worker after hiring, has the worker work for a using employer under the direction and order of the using employer in accordance with a worker dispatch contract (Article 2 of the Dispatch Act). Whether or not it is a worker dispatch is judged based on the facts rather than the name or form of the contract between the using and sending employers. 

    A contract for work becomes effective when one of the parties has agreed to perform a certain job and the other has agreed to pay remuneration for such work (Article 664 of the Civil Act). In-house subcontracting refers to having a subcontractor perform some of the work in the contractor's workplace. When a subcontractor worker receives commands and control from the contractor at the contractor's workplace and provides work to the contractor, a dispatch relationship is established. In this case, it is illegal because the contractor does not meet the legal requirements for dispatch workers.

    B. Procedures for Determining Disguised Subcontracting and Illegal Dispatch
    First, whether the subcontractor is a substantive company needs to be verified. If there is no substantive employer entity, the subcontractor workers are given direct employment instructions. When a subcontract employer entity is recognized, the next step is to judge whether disguised subcontracting is occurring or not.

    (i) Determining the substantive employer entity: When engaged in subcontracting using external personnel within the company, first review whether the subcontractor is recognized as an employer entity. If the subcontractor entity is not recognized as the employer, the subcontract workers are deemed to have a direct labor contract relationship with the contractor company.
    (ii) Determining whether a subcontract worker is dispatched: When a subcontractor is recognized as the substantive employer entity, next to be determined is whether the contractor actually exercises command and control over the subcontract workers, and whether a subcontract worker is in fact a dispatch worker. 


    3. Criteria for Determining Disguised Subcontracting and Related Cases 

    A. Whether a Subcontractor is the Substantive Employer Entity
    The Supreme Court provides the following criteria in relation to a subcontract to hide the employment relationship in a contract. "As a person hired by the original employer provides labor service for a third party at the third party's location, to be regarded as an employee of the third party, his employment shall satisfy the following: 1) The original employer does not have independence in management and works as an agent of the third party in managing employees; 2) The original employer's business entity is nothing more than formal and nominal, and the employee shall be subordinate to the third party in reality; 3) The party that actually pays wages to the employee is the third party; 4) The party to which the person provides labor service is the third party. Based on these criteria, it should be concluded that there was already an implicit employment contract made between the employees and the third party."

    Whether the subcontractor is recognized as a substantive employer entity is determined by considering whether the subcontractor has an entity and independence as employer regardless of the type and name of the contract between the subcontractor and contractor. However, if the subcontractor has some degree of entity and independence as a business owner, it is judged that there is a substantive entity as employer.

    (1) Rights to hire, dismiss, etc.: Review whether the subcontractor decides on the working conditions and personnel affairs of the worker.
    (2) Responsibility to raise funds and make the necessary expenditures: Review whether the subcontractor raises its own money for establishing a business, renting an office, and other tasks.
    (3) An employer's legal responsibilities: Review whether the subcontractor has withheld earned income tax, whether or not its workers have been subscribed to the four social insurance plans, and whether rules of employment have been established and enforced.
    (4) Responsibility for providing machinery, facilities, tools and instruments: Review whether the subcontractor possesses the machinery, facilities, and legal documentation necessary to do business independently.
    (5) Professional skills and experience: Review whether the subcontractor plans the business independently, exercises management decision-making power and has the professional skills or experience necessary for the business.

    B. Related Cases 
    (1) Cases of substantive employer entity recognized
    - Kumho Tire: Supreme Court ruling on Dec. 22, 2017, 2015 da 32905
    ①A subcontractor established a separate company away from the contractor, acting as an independent business entity, and registering the business
    ②joined the 4 social security insurances; and ③prepared separate employment rules and controlled working status. 
    - Incheon Airport Corporation: Supreme Court ruling on July 25, 2013. 2012 da 79439
    ①Subcontractors have separate employment rules, control working status, and exercise disciplinary rights
    ②They signed service contracts with other companies besides this contractor, and hired 2,730 workers assigned to several companies.

    (2) Cases of a substantive employer entity denied
    - SK Insight: Supreme Court ruling on Sept. 23, 2003. 2003du 3420
    ①The contractor instructs the subcontractor's employees to work without distinction from its own employees, and performs all personnel management directly
    ②The subsidiary of the contractor holds 100% of the stock of the subcontractor, and this subcontractor carries out the contractor's work.
    ⇢ The contractor only used the subcontractor's business registration in order to take advantage of workers in the form of disguised subcontract. However, in reality, there is an employment contract relationship as if they'd been hired directly.

    - Hyundai Mipo Shipbuilding: Supreme Court ruling on July 10, 2008. 2005da75088
    ①The subcontractor has been contracted for about 25 years handling assigned tasks from the contractor, who notified the subcontractor of hiring, disciplinary requests, and a list of eligible persons for promotion
    ②The contractor decides working hours and overtime work for the subcontractor workers, and assigns them to work other than the contracted work
    ③The contractor pays the bonus, severance pay, etc. directly to the subcontractor workers. 
    ⇢ Actually, without having independence in business performance or in business management, the subcontractor functions as a business unit of the contractor or as a worker provision agency.


    4. Criteria for Determining Illegal Dispatch and Related Cases 

    The Supreme Court set the standard precedent for illegal dispatch as follows. "Whether employment is employee dispatch or not shall, regardless of the formal and nominal contract made between the two parties, be determined by collectively considering the purpose of the contract or job characteristics, specialty and technology, business registrations of the contracting parties and managerial independence, and the using employer's actual command and control." 

    A. Substantial Contractor Command and Control
    Whether the contractor directly or indirectly instructs the subcontractor workers on the specifics of the work to be performed is reviewed, and whether the subcontractor workers are significantly controlled by these instructions and commands from the contractor. Even if the subcontractor's field manager gives specific instructions and orders to the subcontractor workers, it can be a sign of dispatch employment if the subcontractor's field manager only conveys decisions not made by the subcontractor. However, if ①the contractor only determines such things to an appropriate extent for a contractor, such as specifying the scope of the subcontractor's work, while specific work details are determined and instructions on such are conveyed by the subcontractor's field manager and ②the contractor does not order subcontractor workers on a regular basis, but instead it instructs only in emergencies or only in temporary situations, then requiring subcontractor workers to follow the contractor's safety and health instructions as required in accordance with Article 63 of the Occupational Safety and Health Act does not, in itself, mean the subcontract workers are actually dispatch workers.

    ■ Related Cases
    - Examples of command and control that determines dispatch employment
    In cases where the contractor has decision-making authority to assign work to the subcontractor's workers, and decides the place and time.; In cases where the contractor prepares a work manual or work instructions with work methods and details, etc., and issues it to the subcontractor's workers, and they have to perform the work accordingly.
    - Examples of when command and control do not determine dispatch employment
    When the subcontractor establishes its own work plans to execute the contract, and accordingly and independently determines the number of workers to be put to the work, the work arrangement and changes, and work time; Even if the contractor is involved in the work of subcontractors, such as by placing a work manual, etc., in cases where the subcontractor workers carry out their work in accordance with their own field manager's work instructions.

    B. Subcontractor's Actual Engagement in the Contractor's Business
    ①Subcontractor workers can consist of groups working with the contractor's workers, ②groups performing work besides the contractual work, and ③those who substitute for contractor workers in the event of the latter's absence. In these cases, it will be reviewed whether the subcontractor workers have actually been transferred to engagement in the contractor's own business. 

    If a subcontractor worker performs the same work in the same space as a contractor worker, there is a high chance it will be deemed dispatch employment. Even if the workplaces are the same, it is difficult to assume that the individual workers are included in the contractor's business when they perform the work independently according to the contract purpose of the subcontractor.

    ■ Related Cases
    - Examples of when actual engagement in contractor's business determines dispatch employment
    (Same workplace) When subcontractor and contractor workers are placed in the same group and perform the same tasks together.
    (Different workplace) When subcontractor and contractor workers are spatially separated, but subcontractor workers participate in one of a series of processes or subdivided work steps in one process and are closely linked.

    - Examples of when actual engagement in contractor's business do not determine dispatch employment
    (Same workplace) Even if subcontractor workers work together in the same space as contractor workers, when the details of the work are different and the work is done independently and has no relation to the work of the contractor workers.
    (Different workplace) When subcontractor workers do not perform the same tasks when mixed with contractor workers.

    C. Personnel and Labor-related Decisions
    Reviewing who makes decisions related to personnel and labor determines whether the subcontractor exercises management authority independently.

    - Examples of the subcontractor being unable to exercise personnel rights
    New placements of subcontractor workers must be approved by the contractor, and subcontractor workers must be replaced if the contractor requests it.
    The contractor decides the subcontractor's working hours and whether overtime is to be performed, etc.

    - Examples of the subcontractor being able to exercise personnel rights
    When subcontractors provide training necessary to perform their jobs at their workplace, and have basic authority on recruiting and disciplinary action to directly manage the work time and worker attendance.

    D. Subcontractor Expertise and Technology 
    Whether the work to be performed by the subcontractor worker(s) is specifically determined shall be reviewed, as well as whether it is distinct from the work of contractor workers and whether the subcontractor has the necessary expertise and technology.  

    ■ Related Cases
    - Examples of the subcontractor lacking the needed expertise and technology
    When the subcontractor's scope of work is undefined and it simply carries out the work assigned by the contractor; When the subcontractor's work is the same as that of the contractor and is not clearly classified.

    - Examples of the subcontractor possessing the needed expertise and technology
    In cases where the subcontractor's work is performed independently from the contractor's work; When subcontractor workers perform only the work specified in the contract, but do not perform additional work under direction of the contractor.

    E. Company Organization and Facilities
    It is reviewed whether the subcontractor has an independent business organization, equipment, or equipment necessary to achieve the purpose of the contract as a party to the contract.

    ■ Related Cases
    - Examples of the subcontractor lacking an independent corporate organization and facilities
    If the subcontractor has not invested its own technology or capital.; If the subcontractor does not have separate human and material facilities, does not have specific expertise and consists simply of a large number of workers.

    - Examples of the subcontractor possessing independent corporate organization and facilities
    The subcontractor has an organization to achieve the purpose of the contract, and is actually working for a number of companies besides the relevant contractor.


    5. Conclusion

    Recently, the Korean subsidiary of a foreign automobile company consulted with me about correcting illegal dispatch. In addition to a diagnosis of the situation, I suggested measures for correction of illegal dispatch in accordance with the related labor law, court rulings, and Ministry of Employment and Labor Guidelines. While consulting with the company, it was surprising to learn that the company was like a body where only the head and chest were managed directly, while the torso and limbs were outsourced to subcontractors. These subcontractors ran the company's car sales, car deliveries, its car parts warehouse, customer call center and in-house training, while they also managed the in-house computers and vehicles, as well as quality. 

    Such subcontract management is used as a way for companies to reduce costs and adjust their employment situation in a globally competitive system. However, such subcontracting is possible only through strict management of subcontractors. In other words, subcontractors must maintain their independence and possess the expertise needed by the contract. It is easy for an employment situation to be deemed illegal dispatch unless thorough and continuous action is taken to avoid these and other examples of it.
