1. 문제의 소재
최근 중소기업의 핵심기술을 보유한 우수 인력이 대기업으로 이직해 중소기업이 수년동안 개발한 기술영업정보가 누출되는 사례가 많이 발생하고 있다. 이러한 경우에 중소기업은 전문기술인력에 대해 전직(경업)금지약정을 체결하고 경쟁업체로의 전직을 제한할 수 있지만, 근로자에게도 더 좋은 작업환경과 보수를 받는 직장으로 전직할 수 있는 직업선택의 자유가 있다.
전직금지약정은 사용자가 근로자를 채용해 사용하던 중에 근로자가 회사에서 배운 회사의 고유한 영업비밀이나 영업에 관련된 중요한 내용을 가지고 경쟁회사로 전직해 회사에 피해를 주는 것을 사전에 예방하기 위한 약정이다. 이 전직금지약정은 근로자가 헌법상 가지는 국민의 기본권인 직업선택의 자유와 근로의 권리를 위반할 수 있기 때문에 제한적으로 효력을 가진다. 사용자의 보호 가치가 있는 고유한 영업비밀은 회사의 소유권으로서 보호 대상이기 때문에 전직금지약정은 일정한 요건을 갖춘 경우에는 그 효력을 가진다. 사용자가 근로자와 체결한 전직(경업)금지약정이 효력을 갖기 위해서는 회사의 전문기술이나 생산방식, 영업활동이 보호 가치가 있는 영업비밀 이어야 하고, 이 영업비밀을 지키기 위해 회사가 충분히 노력했다는 내용을 입증해야 한다. 이러한 조건이 충족될 때 비로소 영업비밀로 인정되고, 근로자와 체결한 전직금지약정은 정당한 효력을 가진다.
이번 기고에서는 전직금지약정이 실질적 효력을 갖기 위한 요건은 무엇인지에 관련된 관련 법령과 판례의 내용, 실제 사례에서 어떻게 적용되는지에 대해 구체적으로 살펴보고자 한다.
2. 영업비밀보호와 전직금지약정
가. 영업비밀의 보호
부정경쟁방지 및 영업비밀보호에 관한 법률(이하 '부정경쟁방지법')에서 회사의 영업비밀에 대한 정의를 기술하고, 보호 가치가 있는 영업비밀을 취득하고 경쟁 회사로 전직한 근로자에 대한 손해배상을 청구할 수 있다고 규정하고 있다. 즉, '영업비밀'이란 공공연히 알려져 있지 아니하고 독립된 경제적 가치를 가지는 것으로써, 상당한 노력에 의해 비밀로 관리된 생산방법, 판매방법, 그 밖에 영업활동에 유용한 기술상 또는 경영상의 정보를 말한다(제2조). 회사는 전직한 근로자가 회사의 영업비밀을 침해한 경우나 침해할 우려가 있는 경우 법원에 전직 근로자의 취업 금지나 예방을 청구할 수 있고(제10조), 회사가 전직 근로자의 영업비밀 침해로 인해 손해를 입은 경우에 배상을 청구할 수 있다(제11조). 실무에서 퇴직근로자가 경쟁업체로 전직하는 경우, 전직금지의무 위반에 대한 가처분이나 손해배상소송의 형태로 이뤄진다.
나. 전직금지약정에 관한 기준 판례
대법원은 "사용자와 근로자 사이의 전직금지약정이 헌법상 보장된 근로자의 직업선택의 자유와 근로권 등을 과도하게 제한하거나 자유로운 경쟁을 지나치게 제한하는 경우에는 민법 제103조에서 정한 선량한 풍속 기타 사회질서에 반하는 법률행위로서 무효다. 이와 같은 전직금지약정의 유효성에 관한 판단은 ①보호할 가치가 있는 사용자의 이익, ②근로자의 퇴직 전 지위와 직무내용, ③전직 제한의 기간과 장소, ④근로자에 대한 대가의 제공 유무, ⑤근로자의 퇴직 경위, ⑥공공의 이익 및 기타 사정 등을 종합적으로 고려해야 한다. 여기에서 말하는 '보호할 가치가 있는 사용자의 이익'이라 함은 부정경쟁방지법 제2조에서 정한 '영업비밀'뿐만 아니라 그 정도에 이르지 아니했더라도 해당 사용자만이 가지고 있는 지식 또는 정보로써 근로자와 이를 제3자에게 누설하지 않기로 약정한 것이거나 고객 관계나 영업상 신용의 유지도 이에 해당한다"고 판시하고 있다.
이 판례는 근로자의 전직금지약정이 대해 헌법상 보장된 근로자의 기본권을 침해할 수 있기 때문에 엄격하게 해석해야 하고, 일정한 요건을 갖추었을 때 효력을 가진다고 설명하고 있다. 따라서 전직금지약정 효력 여부 판단은 영업비밀을 보호하는 사용자의 보호가치가 있는 이익과 전직할 수 없는 근로자의 불이익을 비교해 어떤 가치가 더 중요한지에 따라 결정한다. 이러한 두개의 권리의 이익 형량의 비교를 위해 판례가 제시한 다음의 6가지 판단기준을 가지고, 종합적이고 구체적으로 판단해야 한다.
3. 전직(경업)금지약정의 유효성에 대한 구체적 판단기준과 사례
가. 보호할 가치가 있는 영업비밀
대법원은 보호할 만한 사용자의 이익에 해당하기 위해서는 그 내용이 ①동종업계에 널리 알려져 있지 않고 독립된 경제적 가치를 가지고 있어야 하며, ②보안서약서 등을 통해 이를 제3자에게 알리지 않도록 근로자와 약정한 것이어야 한다. 고객정보, 거래처 정보, 노하우 등도 위 요건에 해당한다면 보호할 가치가 있는 사용자의 이익에 해당된다. 그러나 근로자가 고용기간 중에 습득한 기술상 또는 경영상의 정보 등을 사용해 영업을 했다고 하더라도 그 정보가 동종업계 전반에 어느 정도 알려져 있던 것이고, 일부 구체적인 내용이 알려지지 않은 정보가 있었다고 하더라도 이를 입수하는데 그다지 많은 비용과 노력을 요하지 않았던 경우 보호할 가치가 있는 이익에 해당되지 않는다고 판시하고 있다.
근로자가 영업활동과정에서 얻은 각 정보나 영업사원과 거래처 사이의 인적관계는 경업금지 약정을 통해 보호할 가치가 있는 이익에 해당한다고 보기 어렵거나 그 보호가치가 상대적으로 적다고 판시한 사례도 있다.
전직금지약정 체결 시에는 사용자의 합법적 보호이익 범위 내였으나, 현재에는 업종이나 지역, 영업비밀의 내용이 변경돼 사용자의 합법적 보호이익이 소멸했다고 하는 경우에는 퇴직 근로자의 전직금지의무가 소멸됐다고 볼 수 있다.
나. 근로자의 퇴직 전 지위와 직무내용
근로자가 퇴직 전 직장에서 영업비밀이나 보호할 가치가 있는 이익과 관련된 업무에 종사해 그러한 정보를 습득한 것을 요건으로 한다. 따라서 연구개발직의 경우에는 전직금지의무에 연관성이 많다. 이에 반해 단순 반복적인 생산업무만 수행한 경우라고 하면 회사의 영업비밀을 취득했다고 보기 어렵다.
근로자가 1998년 반도체 관련 연구원으로 입사한 이후, 연구개발업무에 종사하던 중 2017년 건강상 사정으로 퇴직한 후 3개월 뒤 경쟁회사에 더 높은 연봉과 지급으로 이직한 경우, 전직금지의무 위반으로 보았다.
근로자는 제약회사의 영업관리사원으로 복막투석액을 수입해 판매하는 업무를 수행했다. 근로자가 업무 중 취득한 제품의 원가 분석 자료 및 대리점 마진율, 할인율, 가격, 신제품 개발 계획 등은 중요한 영업 비밀에 해당된다. 이러한 영업비밀을 가지고 동종 제품을 판매하는 경쟁 제약회사에 취업한 경우에는 전직금지의무 위반에 해당된다.
다. 전직제한의 기간과 장소
전직제한 기간은 전직제한약정의 효력에 있어 중요한 판단요소가 된다. 경쟁업체로의 전직금지 기간은 근로자의 생존권과 직업선택의 자유와 직결될 수 있고, 사용자의 영업비밀보호를 위해 필요하기 때문에 합리적인 기간 내에서 결정돼야 한다. 보통 단기적으로 설정된 경우에는 그 효력이 인정되고, 장기적으로 설정된 경우에는 권리남용이 될 수 있다. 법원은 약정된 전직금지기간이 과도하게 장기라고 인정될 때에는 적당한 범위로 전직금지기간을 제한할 수 있으며, 구체적으로 1년 내지 2년을 전직금지기간으로 인정하고 있다.
반도체 회사의 연구원이 장기간 해당분야에 근무하다가 건강상 퇴직한 후 3개월 만에 경쟁회사로 전직해 동일한 업무를 수행한 사건에서, 법원은 2년의 전직 금지 기간은 영업비밀 보호를 위해 적절한 기간으로 판단했다.
소프트웨어 개발회사에 취업한 근로자가 1년 간 근무한 후 경쟁업체로 이직했다. 근로자는 사용자와 근로계약 체결시에 퇴직 후 1년의 경쟁회사로 전직금지약정을 체결했다. 법원은 근로자가 퇴직 후 1년간의 경업금지의무를 둔 약정은 타당하다고 판결했다.
신청인 회사의 보호가치가 있는 이익의 중요성을 고려하더라도, 핸드폰 시장의 기술이 급변해 1년 이상 된 기술은 쓸모 없게 된다. 이러한 현실에서 근로자의 경쟁업체로의 전직을 장기간 금지하는 것은 직업선택의 자유를 과도하게 제한할 여지가 있다. 이 사건의 전직금지약정에서 정한 2년의 전직금지기간은 피신청인에게는 다소 과도한 제한이 된다. 따라서 '퇴직일로부터 2년'간의 전직을 금지한 경업금지약정은 부당하다고 판시했다.
원고들은 대치동 학원에서 학원강사로 1년간 일하면서, "학원을 그만 둔 경우 1년 이내에 원고 학원으로부터 5km이내에서 동의없이 동종업무에 종사할 수 없다" 는 경업금지약정을 체결했다. 이에 대해 경업제한이 합리적인 범위를 넘어서 직업선택의 자유를 부당하게 구속하고 생존을 위협하는 경우에 해당되므로 무효라고 판결했다.
라. 근로자에 대한 대가 제공유무
근로자에게 전직금지의 대가가 지급됐는지 여부는 전직금지약정의 유효성 판단에 중요한 요소이다. 법원에서는 전직금지약정의 대가로 금전을 지급하게 되면, 동종업계로의 전직금지의무가 있다고 한 판례가 많다. 그럼에도 불구하고 대가의 지급이 없었다고 하더라도 해당 업무가 회사의 영업비밀에 해당되는 경우에는 전직금지의무가 발생한다.
반도체 회사에서 근무하다가 경쟁 반도체 회사로 전직한 근로자에 대한 전직금지약정 위반에 대한 사건에서 회사가 전직금지의무의 대가로 특별 인센티브를 지급했다. 이러한 전직금지의무에 대한 대가로 지급된 대가가 있기 때문에 2년간의 동종 유사업체로의 취업을 금지하는 것을 타당하게 보았다.
소프트웨어 개발회사에 취업한 근로자가 1년 동안 전직금지약정을 체결했다. 전직금지의무를 준수하는 대가로 일정액의 보너스를 지급받았다. 회사는 경업금지의무 대가로 일정한 보너스를 지급했으나 근로자가 불과 입사 1년 만에 동종업계로 전직한 사건에 있어, 법원은 회사가 경업금지약정의 대가로 지급한 금품이 있기 때문에 근로자의 전직을 경업금지의무 위반으로 판결했다.
피고는 손톱깎기 등을 제조 판매하는 회사에 무역부장으로 근무했는데, 회사에서는 근로계약서에 2년간 경쟁업체에 취업을 금지하는 경업금지약정 규정을 두고 있었다. 피고가 경쟁회사를 설립해 원고와 경쟁관계가 돼 진행된 소송에서, 법원은 피고가 이 사건 경업금지약정의 체결로 인해 특별한 대가를 수령한 것으로 보이지 않는데도 퇴직 후 2년이라는 긴 시간 동안 경업이 금지되는 규정을 두었기 때문에 경업금지약정을 인정하지 않았다. 여기서 회사의 대가 지급여부가 전직금지약정에 대한 중요한 판단의 기초자료가 됐다.
마. 근로자의 퇴직경위
경쟁업체로의 전직금지약정은 근로자 스스로 회사를 그만 두고 경쟁회사로 이직하는 경우에 사용자의 영업비밀보호를 위해 취하는 조치이다. 그러나 근로계약의 종료사유가 임금체불, 부당해고, 정리해고 등과 같이 사용자의 귀책사유가 있는 경우로 퇴직하는 경우에는 근로자가 경쟁업체로 이직하더라도, 전직금지의무를 강제할 수 없다. 따라서 퇴직사유가 근로자의 자발적인 사직에 해당하는 경우에만 전직금지약정이 효력을 가진다.
바. 구체적이고 종합적인 판단
전직금지약정이 효력을 갖기 위해서는 앞서 언급한 5가지의 세부 판단기준을 구체적이고, 종합적으로 판단해야 할 것이다. 특히, 전직금지약정에서 근로자의 직업선택의 자유와 사용자의 영업비밀보호 중에 어떤 권리가 우선 보호가치가 있는지 구체적인 사례를 검토해 이익 형량을 평가해야 할 것이다. 특히 주목해야 할 점은, 회사 영업비밀의 보호대상 여부, 근로자가 보유한 영업비밀의 정도, 경업제한기간, 영업비밀보호에 대한 회사의 대가지급여부, 그리고 근로자의 퇴직 경위 등을 구체적으로 살펴서 판단해야 할 것이다.
4. 결론
회사의 영업비밀을 보유한 근로자가 자발적으로 퇴직해 경쟁업체로 이직하는 경우, 사용자는 회사의 영업비밀보호를 위해 해당 근로자에 대해 전직금지를 청구를 할 수 있으며, 회사가 이로 인해 손해를 입은 경우에는 손해배상을 청구할 수 있다. 이와 함께 경쟁회사가 당해 회사의 앞선 기술을 획득하기 위해 해당 근로자를 스카우트하는 채용방식의 전직이 이루어진 경우에는 경쟁업체에 대해 손해배상을 청구할 수 있다.
그러나 근로자에게도 직업선택의 자유와 더 나은 환경에서 근로할권리와 행복추구권을 가지고 있기 때문에, 근로자가 회사의 고유한 영업비밀을 보유한 것도 없고, 전직금지약정의 대가로 일정한 보수를 받은 것도 없는 경우에는 사용자의 영업비밀보호 의무에 앞서 근로자의 권리가 우선해야 할 것이다.
Criteria for Judging the Effectiveness of the Non-Compete Agreement
I. Introduction
Recently, there have been many cases in which excellent employees possessing the core technologies of small and medium-sized companies(SME) has moved to a large company, and advanced technologies developed by small and medium-sized enterprises for several years can become stolen easily. In such cases, SMEs may sign a non-compete agreement for professional engineers and restrict their job change to competitors, while workers may have the freedom to choose a job to a better working environment and a paid job.
The non-compete agreement is an agreement to prevent the worker with the company's unique trade secrets learned in the company or important information related to business, from transferring to the competing companies and causing damage to the company while the company uses him/her. This non-compete agreement has limited effect because it may violate the right to work and freedom of occupation, which are the basic rights of the people under the constitution. Since the employer's unique trade secret that has protection value is the ownership of the company and is the subject of protection, the non-compete agreement is effective when certain requirements are met. In order for the employer's non-compete agreement with the worker to be effective, the company's expertise, production method, and business activities must be a trade secret that has a protective value, and the company has made sufficient efforts to keep this trade secret. When such conditions are satisfied, it is recognized as a trade secret, and the non-compete agreement with the employee has legitimate effect.
In this article, I would like to explain the requirements to have the effectiveness of the non-compete agreement, the contents of related laws and standard guides, and related labor cases.
2. Trade Secret Protection and Employment Prohibition Agreement
A. Protection of trade secrets
In the Unfair Competition Prevention and Trade Secret Protection Act (hereinafter the "Unfair Competition Prevention Act"), the definition of the company's trade secrets is described, and it also regulates compensation for damages to workers who have acquired trade secrets with protective value and transferred to competitors. In other words, the term "trade secret" is a product that is not publicly known and has independent economic value, and refers to production methods, sales methods, and other technical or management information useful for business activities that are managed confidentially by considerable effort (Article 2 ). The company may request the court for prohibition or prevention of employment of former workers if they infringe or are likely to infringe the company's trade secrets (Article 10). In the event of damage due to the damage, the company may request compensation (Article 11). In practice, when a resigned worker transfers to a competitor, it is in the form of a provisional disposition for violation of the obligation to prohibit the change of work or a lawsuit for damages.
B. Standard precedent on the non-compete agreement
The Supreme Court said, "If the non-compete agreement between employers and workers excessively restricts workers' freedom of occupation and work rights, etc., guaranteed by the constitution, or excessively restricts free competition, the good morals and social order set forth in Article 103 of the Civil Act, it is invalid as a contrary legal act. Judgment on the effectiveness of such a non-compete agreement is as follows: ①the interests of the employer worthy of protection, ②the employee's position and job description before resignation, ③ the period and place of the restriction on the job change, ④ the presence or absence of compensation for the worker, ⑤ the reasons for resignation, and ⑥ public interests and other circumstances must be comprehensively considered. The term 'employer's interests worth protecting' as referred to herein is not only the 'trade secret' defined in Article 2 of the Unfair Competition Prevention Act, but also the knowledge or information owned only by the relevant employer even if it has not reached that level. It is a pledge not to divulge it to third parties, or the maintenance of customer relationship or business credit."
This precedent explains that the non-compete agreement must be interpreted strictly as it may infringe on the basic rights of workers guaranteed by the constitution, and is effective when certain requirements are met. Therefore, the determination of whether or not the non-compete agreement is effective is determined based on which value is more important by comparing the benefits of the employer who protects trade secrets with the disadvantages of the workers who cannot change jobs. In order to compare the weight of these two rights, it is necessary to make a comprehensive and detailed judgment based on the following six judgment criteria suggested by precedents.
3. Specific Criteria and Examples of the Validity of the Non-compete Agreement
A. Trade secrets worth protecting
In order to correspond to the interests of an employer that deserves protection, the Supreme Court must: ① be not widely known in the same industry and have an independent economic value, and ② be an agreement with the worker not to inform the third party through a security pledge. Customer information, customer information, and know-how are also the interests of employers worth protecting if they meet the above requirements. However, even if the worker used technical or management information acquired during the employment period, if the information was known to some extent throughout the industry, and even if some specific information was unknown, if it would not be very expensive to obtain it, it is judged that it does not constitute an interest worth protecting as it did not require effort to obtain it .
In some cases, it is difficult to say that each information obtained by a worker in the course of business activities or the personal relationship between a salesperson and a business partner is an interest worth protecting through a non-competition agreement, or that the protective value is relatively small.
At the time of the conclusion of the non-compete agreement, the employer's legal protection interests were within the scope of the employer's legal protection interests, but currently, if the employer's legal protection interests are said to have lapsed due to changes in the business type, region, or trade secret, it can be considered that the resigned worker's obligation to non-compete agreement has lapsed.
B. Worker's position and job description before resignation
Non-compete agreement is based upon the fact that the worker acquires such information by engaging in work related to trade secrets or interests worthy of protection in the workplace before resignation. Therefore, in the case of research and development positions, there is a lot of relevance to the non-compete obligation. On the other hand, it is difficult to say that the company's trade secrets were acquired if only simple and repetitive production was performed.
A worker joined as a semiconductor-related researcher in 1998, and then resigned for health reasons in 2017 after he had been engaged in research and development for years. Just three months after resignation, he joined a competing company with a higher annual salary and payment, which was considered a violation of the non-compete obligation.
As a sales manager of a pharmaceutical company, the worker imported and sold peritoneal dialysis solution. Those items like cost analysis data for products acquired by workers during work, agency margin, discount rates, prices, and new product development plans are important trade secrets. If he was employed by a competing pharmaceutical company that sells similar products with such trade secrets, he was in violation of your job change prohibition obligation.
C. Period and place of non-compete restrictions
The period of non-compete restrictions is an important factor in determining the effectiveness of the non-compete agreement. The period of non-compete restriction to a competitor should be determined within a reasonable period because it can be directly linked to the right to live and freedom of job choice, and is necessary for the protection of the employer's trade secrets. In general, if it is set in the short term, its effect is recognized, and if it is set in the long term, it can become abuse of rights. The court may limit the prohibition period to a suitable range when the contracted non-compete period is excessively long, and specifically recognize 1 to 2 years as the non-compete period.
In the case where a researcher of a semiconductor company worked in the R&D field for a long period of time and then transferred to a competitor and performed the same job 3 months after resigning due to his health reasons, the court ruled that the two-year prohibition period is an appropriate period for the protection of trade secrets.
A worker who was employed by a software development company moved to a competing company after working for a year. At the time of signing a labor contract with the employer, the worker entered into a contract to prohibit the transfer of employment to a competitor for one year after resignation. The court ruled that the agreement under which workers was obligated to non-compete provision for one year after resignation was valid.
Even considering the importance of the protective valued profits of the company, technology in the mobile phone market changes rapidly, making technologies older than a year useless. In this reality, long-term prohibition of workers' job change to competitors has the potential to excessively limit their freedom of occupation. The two-year prohibition period stipulated in the non-compete agreement in this case is somewhat excessive for the employee. Therefore, it was judged that the non-compete agreement that prohibited job change for "two years from the resignation date" was unfair.
Plaintiffs worked as academy instructors at Daechi-dong academy for one year, and signed an non-compete agreement, which stipulates, "If you quit the academy, you cannot engage in the same kind of work without consent within 5km from the plaintiff academy within one year." In this regard, it was ruled as invalid because the restriction on non-compete was beyond a reasonable range, unreasonably restricting the freedom of occupation and threatening survival.
D. Whether compensation is provided to workers
Whether or not workers have been paid for the non-compete agreement is an important factor in determining the effectiveness of the non-compete agreement. There are many precedents in courts saying that if money is paid in exchange for an non-compete agreement, there is a duty to prohibit transfer to the same industry. Nevertheless, even if there is no payment for the non-compete agreement, if the business falls under the company's trade secret, the obligation to prohibit transfer to the competing company occurs.
In the case of violating the non-compete agreement for the worker who transferred to a competing semiconductor company after working for a semiconductor company, the company paid special incentives in exchange for the obligation to non-compete agreement. As the company paid the money for this non-compete obligation, it was reasonable that two-year ban for transferring to the competing company.
A worker who was employed at a software development company signed a non-compete agreement for one year. In exchange for complying with this non-compete obligation, a certain amount of bonus was paid. As the company paid a certain bonus in exchange for the non-compete obligations, in the case where a worker changed his job to the competing company only one year after joining the company, the court ruled that the employee violated the non-compete obligation.
The defendant worked as a trade manager for a company that manufactures and sells nail clippers, and the company had a regulation on non-compete agreement in the labor contract, prohibiting employment with competing companies for two years. In a lawsuit in which the defendant established a rival company and entered into a competitive relationship with the company, the court dismissed this non-compete agreement because it has too long obligation like two years after resignation without any return compensation for this non-compete period. Here, whether or not the company had provided additional payment for this non-compete period became the basic data for the important judgment on the non-compete agreement.
E. Workers' reasons for resignation
The non-compete agreement to a competitor is a measure taken to protect the employer's trade secrets when a worker leaves the company and moves to a competitor. However, in the case of resignation due to reasons attributable to the employer such as overdue wages, unfair dismissal, or layoffs, the obligation to prohibit the change of employment cannot be enforced even if the employee moves to a competitor. Therefore, the non-compete agreement is effective only if the reason for resignation is the employee's voluntary resignation.
F. Specific and comprehensive judgment
In order for the non-compete agreement to take effect, the five detailed judgment criteria mentioned above must be reviewed in detail and comprehensively. In particular, it is necessary to evaluate the weight for profits by examining specific cases of which rights have the protection value first among the workers' freedom of choice of occupation and the protection of trade secrets of the employer in the non-compete agreement. In determining the effectiveness of the non-compete agreement, it is necessary to review before its judgment those items like the company's trade secrets worth protecting, the period of competition restrictions, the company's payment for protection of trade secrets, and the worker's reasons for resignation.
4. Conclusion
If a worker who holds the company's trade secrets voluntarily resigns and moves to a competitor, the employer may request a non-compete obligation against the worker in order to protect the company's trade secrets. If the company suffers damages due to the worker's violation of this non-compete obligation, the company may claim compensation for damages.
